Tips for Filing Annual Reports

Business Corporation

  • When filing your first annual report, be sure to delete the title of “Incorporator” and provide the names and addresses of the current officers (president, vice-president, secretary and treasurer) of the business corporation.
  • Remember to provide a brief description of the character of business conducted in Rhode Island.
  • Be sure that the issued shares you have provided are not in excess of the number of authorized shares for your business corporation. An amendment must be filed in order to increase the authorized shares of a business corporation.
  • Include how many shares the business corporation has issued. If you have not issued shares, you must enter “0.”

Limited Liability Company (LLC)

  • Prior to filing the annual report use our Corporate Database to verify whether your entity is managed by either members or managers.
  • Be sure that your annual report reflects the same internal structure you selected on your article of organization/certificate of registration. If your internal structure has changed, you must file an amendment.
  • The name and/or address of your current manager(s) must be listed on your annual report. Members are NOT listed.
  • You must provide a brief description of the character of business conducted in Rhode Island.

Benefit Corporation

  • When filing your first annual report, be sure to delete the title of “Incorporator” and provide the names and addresses of the current officers (president, vice-president, secretary and treasurer) of the benefit corporation.
  • Remember to provide a brief description of the character of business conducted in Rhode Island.
  • Be sure that the issued shares you have provided are not in excess of the number of authorized shares for your business corporation. An amendment must be filed in order to increase the authorized shares of a benefit corporation.
  • Include how many shares the business corporation has issued. If you have not issued shares, you must enter “0.”
  • Be sure to complete each section of the filing form, including Section 11 a – k.
