Instructions to Register Your Foreign Non-Profit Corporation Online


These key instructions are intended to help you avoid rejection of your Application for Certificate of Authority. Please review these instructions thoroughly before submitting your application to ensure your filing is successful.

Section I


The entity name entered in Section I must match the name on the Certificate of Good Standing/Letter of Status you obtained from the state or country in which the entity is incorporated.



Section III


To register as a Foreign Non-Profit Corporation in Rhode Island, your entity name must be distinguishable from any name on file in this office.

If your entity name is not distinguishable from an entity name on file in this office or if you choose to conduct business under another name, also known as a “Fictitious Name,” you will need to file a Fictitious Business Name Statement (Form 626) for an additional fee of $20. Please complete the Fictitious Business Name Online Request Form to start that process.

Section V


The principal office of the entity is the primary address from which the entity conducts business. This does not need to be a Rhode Island address or a physical street address. Official notices from the RI Department of State will not be directed to this address.



Section VI


A registered agent must have a Rhode Island street address and must be available at the given address during normal business hours to accept service of process. P.O. Boxes or shipping/postal company addresses (including virtual business addresses) do not meet this standard and are not allowed. Official notices from the RI Department of State will be directed to this address.

Before submitting your application, be sure to upload a PDF copy of your Certificate of Good Standing/Letter of Status from the state or country in which your entity is incorporated. Please refer to this interactive map to find the appropriate agency from which to obtain your Certificate. The Certificate of Good Standing/Letter of Status must be dated within 60 days of filing the Application for Certificate of Authority.
