Instructions to Register Your Foreign Business Corporation Online
These key instructions are intended to help you avoid rejection of your Application for Certificate of Authority. Please review these instructions thoroughly before submitting your application to ensure your filing is successful.
The entity name entered in Section I must match the name on the Certificate of Good Standing/Letter of Status you obtained from the state or country in which the entity is incorporated.
To register as a Foreign Business Corporation in Rhode Island, your entity name must:
- contain the words “corporation,” “company,” “incorporated,” “limited,” or one of these abbreviations: “inc.,” “co.,” “corp.,” or “ltd.”; and
- be distinguishable from any name on file in this office.
If your entity name is not distinguishable from an entity name on file in this office or if you choose to conduct business under another name, also known as a “Fictitious Name,” you will need to file a Fictitious Business Name Statement (Form 624A) for an additional fee of $50. Please complete the Fictitious Business Name Online Request Form to start that process.
The principal office of the entity is the primary address from which the entity conducts business. This does not need to be a Rhode Island address or a physical street address. Official notices from the RI Department of State will not be directed to this address.
A registered agent must have a Rhode Island street address and must be available at the given address during normal business hours to accept service of process. P.O. Boxes or shipping/postal company addresses (including virtual business addresses) do not meet this standard and are not allowed. Official notices from the RI Department of State will be directed to this address.
If the “PAR VALUE” of any of your authorized shares has more than 4 characters after the decimal point (e.g., 0.00001), leave Section IX blank. To record the entity’s authorized shares, use this template and upload it as an attachment to your filing. If you opt to create your own attachment, you must use the same format shown in Section IX to record the total amount of authorized shares and the series/class and par value per share.
If the entity is offering engineering services, prior approval from the Board of Registration for Professional Engineers is required. If you intend to register your business online, be sure to have a scanned PDF of your approval letter ready for upload.
Certificate of Good Standing/Letter of Status
Before submitting your application, be sure to upload a PDF copy of your Certificate of Good Standing/Letter of Status from the state or country in which your entity is incorporated. Please refer to this interactive map to find the appropriate agency from which to obtain your Certificate. The Certificate of Good Standing/Letter of Status must be dated within 60 days of filing the Application for Certificate of Authority.
