Business Corporations:
- 1. Your entity status is currently revoked. Please use our Corporate Database
to verify your entity status prior to filing the annual report form.
- 2. You’re filing your first annual report and you neglected to change
the “officer” title from Incorporator to one of the standardized
officer titles.
- 3. The officer that executed the report is not listed on the annual report
as an officer of the corporation. You must list all of the corporation’s
officers and/or directors on the annual report form.
Non-profit Corporations:
- 1. Your entity status is currently revoked. Please use our Corporate Database
to verify your entity status prior to filing the annual report form.
- 2. You’re filing your first annual report and you neglected to change
the “officer” title from Incorporator to one of the standardized
officer titles.
- 3. The officer that executed the report is not listed on the annual report
as an officer of the corporation. You must list all of the corporation’s
officers and/or directors on the annual report form.
- 4.You’re a domestic (Rhode Island) non-profit corporation and you
did not list three directors as required by statute.
Limited Liability Companies:
- 1. Your entity status is currently revoked. Please use our Corporate Database
to verify your entity status prior to filing the annual report form.
- 2. You elected to be managed by your members on your articles of organization/certificate
of registration, but you have listed a manager on the annual report form.
To change your internal structure, an amendment is required.
- 3. You elected to be managed by one or more managers on your articles of
organization/certificate of registration, but you did not list the name
and/or address of your current manager(s). To change your internal structure,
an amendment is required.
